1. Acceptance of Vendor Terms
By submitting an application to register as a service provider, vendor, or independent contractor on the Olamop platform, you (“Vendor”) agree to be legally bound by these Terms and Conditions. If you do not accept these terms, you must not proceed with the registration or utilize the platform to offer services.
2. Nature of the Relationship
- Independent Contractor: The Vendor operates as an independent third-party service provider and is not an employee, agent, or legal partner of Olamop.
- Platform Role: Olamop acts strictly as a technology-enabled digital marketplace and intermediary that connects users (customers) seeking home services with verified vendors. Olamop provides digital routing, dispatching, and administrative infrastructure.
3. Vendor Eligibility, Vetting, & Documentation
- Licensing & Permits: Vendors must possess and maintain valid commercial trade licenses, professional permits, or legal identification documents (such as UAE Emirates ID and local trade authorizations) as required by the laws of the United Arab Emirates.
- Background Verification: Vendors consent to background checks, document verification, and credential reviews conducted by Olamop during onboarding and periodically thereafter.
- Initial Staffing Limits: During the initial startup and business launch phase, the number of active staff or crews deployed by the Vendor must comply with platform limits (not exceeding two [2] registered employees/crews unless explicitly approved in writing).
4. Service Level Agreement (SLA) & Quality Benchmarks
- Quality Compliance: Vendors explicitly agree to adhere strictly to Olamop’s quality benchmarks, cleaning checklists, safety protocols, and punctuality rules.
- Service Execution: Vendors must ensure that all services booked through Olamop are executed professionally, on time, and using verified tools, equipment, and qualified personnel. Failure to maintain service standards may result in suspension or deactivation of the Vendor account.
5. Liability & Dispute Disclaimer
- Direct Operational Accountability: The Vendor shall be solely, operationally, and financially accountable for any service delays, missed appointments, property damage, theft, or interrupted services resulting directly or indirectly from operational oversights, dispatch errors, unverified equipment availability, or unassigned crews deployed by the Vendor.
- Limitation of Olamop's Liability: Olamop shall bear no direct or indirect liability for field operational mishaps, property losses, or disputes caused by the Vendor or their personnel. The Vendor agrees to indemnify and hold harmless Olamop from any claims arising out of the Vendor's field operations.
6. Pricing, Payments, & Financial Terms
- Commissions & Payouts: Vendors agree to Olamop's fee structure, pricing guidelines, and payout terms as outlined in their service agreement.
- Financial Restrictions: Vendors are strictly prohibited from soliciting direct offline cash payments from platform customers for bookings initiated through Olamop unless explicitly authorized.
7. Data Privacy & UAE Compliance
- Data Protection: Olamop collects, processes, and stores vendor and customer data in strict compliance with United Arab Emirates data protection laws.
- Vendor Warranties: Vendors warrant that all professional data provided during registration is accurate and consent to its secure handling and role-based access control by Olamop administrative systems. Unauthorized extraction, scraping, or misuse of customer or platform data is strictly prohibited and will result in immediate termination and legal action.
8. Confidentiality & Non-Solicitation
- Confidential Information: Vendors shall maintain absolute confidentiality regarding financial figures, operational strategies, customer lists, and platform data obtained through Olamop.
- Non-Solicitation: Vendors agree not to bypass the Olamop platform to directly solicit, book, or service customers acquired through Olamop for private or competing engagements.
9. Account Termination & Suspension
Olamop reserves the right to suspend or terminate any Vendor account immediately, without prior notice, in the event of policy violations, customer complaints, safety breaches, or failure to maintain required licensing and quality standards.
10. Governing Law & Dispute Resolution
These Vendor Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising in connection with these terms shall be subject to the exclusive jurisdiction of the Courts of Dubai.
